    DBA/Business Names

Register your company’s trade name the right way.

State and local governments usually require companies to register any alternate names under which they do business. Called a Doing Business As (DBA) filing, this action allows your company to legally operate under a trade name, also known as an “assumed” or “fictitious” name.

By having a DBA name, it’s possible for sole proprietors and general partners to do business using a name other than the owners’ personal name. In the case of c corporations. s corporations. limited liability companies (LLC s), nonprofits and some other formation types, a DBA filing allows them to do business under a name different than the one that appears on their original incorporation documents.

Here are a few practical examples of how DBA names are used:

    • Sole proprietors and general partners often choose to operate under a DBA name. For example, business owner John Smith might file the DBA name “Smith Roofing.”
    • Corporations and limited liability companies (LLCs) may register alternate names for specific lines of business. For example, Helen’s Food Service Inc. might register the DBA name “Helen’s Catering.”

By registering a DBA name for your business, you could enjoy:

    • better visibility for marketing purposes
    • enhanced credibility among suppliers and customers
    • an easier time opening business bank accounts
    • the ability to transact business under a different name on the Internet

    incorporate.com can help.

incorporate.com can complete DBA registrations for corporations, limited liability companies (LLCs), and some sole proprietorships and partnerships. Let us know that you’d like to register a DBA name and we’ll send you the right application for your DBA filing. You just sign and return it to us and we’ll take it from there. Once the state or local government has accepted your request, we’ll send you an approval notice. Your DBA name will then be part of the public record.

    Doing Business As (DBA) FAQs

Why would I file a DBA?

If sole proprietors choose to operate a business under a name other than their personal name, they need to register that name with the state, county, city, or town in which the business operates.

If you own a corporation or an LLC, you may choose to operate under a different name than the original legal name of your business. If so, you will need to register this alternate name in the state, county, city, or town where you conduct business.

You will need to register your DBA name prior to opening a business bank account for your alternate name and before advertising or transacting business under another name.

What are the advantages of a DBA?

Filing a DBA can allow you to:

    • Do business under a name other than your personal name
    • Do business under an additional name, if a corporation or LLC
    • Market an additional product or service under a different name

incorporate.com can help sole proprietors file DBAs with some state and local government offices.

Why would a Partnership need to file a DBA?

To avoid doing business under only one partner’s name, or under both names, partnerships often file DBA names with their state, county, city, or town government offices. For example, John Smith and Bob Jones might file the DBA, “Smith & Jones Enterprises.”

If you manage a partnership that operates under a DBA, you will need to register your DBA with the appropriate government office.

incorporate.com can help partnerships file DBAs with some state and local offices. Call us to learn more about registering your business name today.

Why would an LLC need to file a DBA?

Some state and local government offices refer to a DBA as a “trade name” or “assumed name,” since these names usually reflect the company’s line of business more accurately than its legal name. Let incorporate.com help your LLC register a DBA name.

Why would a Corporation need to file a DBA?

Corporations often file DBAs for additional business names. A corporation might file a DBA to market a new product or service under a unique name. In other cases, corporations simply operate under more than one name.

If your corporation will use a DBA in its home state or any other state, it must register the DBA with the appropriate government office at the state, county, city, or town level. We can help your corporation register a DBA name today.

Are there any restrictions on DBA name filings?

In many states, more than one business can file the same DBA name at the local level. However, a DBA cannot include a corporate indicator such as “Inc.” or an LLC indicator such as “LLC,” unless the business is a corporation or LLC.

Corporations and LLCs can sometimes file DBAs that include “Inc.” or “LLC,” depending upon the laws of the particular state, county, city, or town.

There is no limit to the number of DBA names you can register. You can file as many DBAs as your business needs.

How do I file a DBA?

If you own a corporation or LLC, incorporate.com can help you file a DBA with the appropriate state, county, or local office for a service fee of $150 plus government fees.

If you conduct business as a sole proprietor or partnership, our services depend upon the location of your business. Please contact us for more information about the services we offer in your area. In some cases, we can help sole proprietors and partnerships file DBAs.

Does a DBA require annual renewal?

State and local offices have unique rules for DBA expiration. While some state and local governments require businesses to renew DBA filings, others do not. If your business must renew its DBA registration, your state or local government office typically sends a renewal notice to the business.

Depending upon the location of your business, we may offer DBA renewal services in your area. Get help renewing your DBA name by contacting us at 800-818-6082 (toll-free) or 302-636-5440.

Challenge: To help cut costs and time to market, most web hosting companies use one of three widely distributed control panels. Generally, doing so means that their features are identical to those of other companies using the same software, and higher level support is outsourced to a third party. When a security gap is discovered or an improvement is needed, an

outside vendor must be contacted for a solution. That vendor would then contact the developer, who in most cases is located in another country. If the developer feels the request has merit, they would implement a solution and release a patch. Due to so many parties being involved in the process, the amount of time from the initial request to a final solution could be days if not months.

Solution: We have developed our own control panel. and assembled all of the software powering our servers from the ground up. Many of its features are unique, and are not available anywhere else. Our blazing fast webmail has more features than most desktop email clients, and includes proprietary spam filtering technology which keeps junk mail away while

making sure good messages are delivered at virtually the same time they are sent. A dedicated team of in-house developers maintains our software, with a large portion of their time being devoted to security enhancement and new product development. When a new feature is created or an upgrade is released, our proprietary Rapid Update utility instantly updates every server at virtually the same time. This technology enables us to perform software upgrades within minutes across our entire network of servers (click here to see the upgrades we have done within the past year). The ability to provide real time solutions in direct response to market demands gives us an unmatched advantage over our competition. We always stand behind our product, and are committed to making it better, one idea at a time.

Sites built on cloud services such as Amazon Web Services and Microsoft Azure can now automatically and transparently redirect user traffic from their bare domain name to the www version of their sites. Simply add a http redirection record in the edgedirector control panel and all further record maintenance is automatic. The edgedirector http redirection service is geodns enabled and hosted on multiple distributed redundant edgedirector servers

Affiliate marketers and traffic aggregators can use chained redirects crossing domains as a means of referral masking to protect the source of their user traffic.

DNS is a core internet protocol that enables your web presence by translating human readable domain names to network routable addresses. DNS availability is critical to delivering your audience to your site on demand around the clock.

Our managed authoritative dns hosting services deliver the DNS uptime and availability that are crucial to your success.

The edgedirector.com authoritative dns server platform is scalable, flexible, and responsive. It delivers accurate dns responses quickly and propagates dns zone record changes immediately to all dns servers. No more waiting for dns updates. It is authoritative dns service at its best.

The service is further enhanced with an advanced dns feature set to help you stay at the front of the internet pack.

    automated maintenance failover
When your servers are unavailable, your visitors are pointed to a information page hosted on edgedirector.com servers. The pointing mechanism is specially designed to inform and reassure human users while also avoiding search engine penalties. Even if all of your servers in every data center are unavailable, your users will still receive some reassurance that you will be back.

    wildcard dns record support
Users can be directed to a default server when the hostname does not exist in your dns zone. No more lost users from typing errors like ww .example.com.

    global dns load balancing
Use dynamic geoip mapped dns records to point your users to the closest healthy server to improve server response latency. Turn your existing servers into a custom content delivery network with an international footprint.

    geoip content delivery mapping
A content delivery network can also be geolocation aware. Dynamic dns answers are used to point your users at the geolocation designated server for their geographic place of origin. You can easily deliver geotargeted content from single or multiple content distribution servers.

    monitored server failover
edgedirector.com monitors your servers and tailors dns answers automatically to include only servers that are currently available in the defined set. Designated subscriber administrators are automatically notified of outages for corrective action. Once the server is back online, it will again be included in the server pool.

    hardware load balancing compatible
You may designate any ip address as the published endpoint in your dns records. This includes the public interfaces of single or redundant hardware load balancers and caching appliances in your data center. Combine global load balancing with local load balancing for the best server response time and greatest resilience to service interruptions.

These advanced dns based capabilities work together to provide your users with the best service possible. A set of globally distributed geolocation aware servers becomes as easy to manage as a single server and as powerful as any CDN. Imagine a no-compromise CDN custom built for your unique requirements with complete control in your hands.

    Accounting Program Career Facts

    What They Do:

Accountants and auditors prepare, analyze, and verify financial reports and taxes and monitor information systems that furnish this information to managers in business, industry, and government.

The major fields of accounting are public, management, and government accounting. Public accountants have their own businesses or work for public accounting firms. They perform a broad range of accounting, auditing, tax, and consulting activities for their clients, who may be corporations, governments, nonprofit organizations, or individuals. Management accountants (also called industrial, corporate, or private accountants) record and analyze the financial information of the companies for which they work. Other responsibilities include budgeting, performance evaluation, cost management, and asset management Government accountants and auditors maintain and examine the records of government agencies and audit private businesses and individuals whose activities are subject to government regulations or taxation.

Within each field, accountants often concentrate on one aspect of accounting. For example, many public accountants concentrate on tax matters, such as preparing individual income tax returns and advising companies of the tax advantages and disadvantages of certain business decisions.

Increasing numbers of accounting graduates are working in private corporations. Management accountants analyze and interpret the financial information corporate executives need to make sound business decisions. They also prepare financial reports for non-management groups, including stockholders, creditors, regulatory agencies, and tax authorities. Within accounting departments, they may work in financial analysis, planning and budgeting, cost accounting, and other areas.

    Who Would Enjoy It:

People with accounting jobs understand information systems and are skilled at working with computers to gather, report, and interpret information. Skills in human relations and interviewing are essential because accountants need to understand and solve financial problems for other people.

Accounting covers a wide variety of jobs including Financial Reporting, Income Tax Research and Preparation, Information Systems Design, Auditing, Budget Preparation, and Cost Accounting. Levels of accounting jobs range from clerical bookkeeping to Vice-President of Finance/Chief Financial Officers.

    What They Earn:

The average starting salary for someone with a bachelor s degree is about $35,000 per year, yet salaries ranged from $30,000 to $40,000. Those with 1 to 3 years experience will increase to about $50,000 a year, with salaries ranging from $30,000 and $60,000 in the higher management positions. After 10 to 15 years of experience in this field, one may earn up to $110,000 per year. Starting salaries with an associate degree vary with the individual s education and work experience. Bookkeeping jobs for students working on a degree vary from $8.00 per hour on up depending upon education and experience.

    How Many Jobs Available:

Employment of accountants and auditors is expected to grow about as fast as the average for all occupations through the year 2014. Each year, several hundred thousand jobs for bookkeeping, accounting, and auditing clerks will become available as these clerks transfer to other occupations or leave the labor force. The large size of the occupation ensures plentiful job openings, including many opportunities for temporary and part-time work.

How Much Schooling, Training, or Skill Development:

Most professional accountant and internal auditor positions require at least a bachelor s degree in accounting or a related field. However, many employers are beginning to prefer candidates who have earned a master s degree. A variety of bookkeeping and paraprofessional accounting jobs are available for people with less than an associate degree. There appears to be a growing trend for these jobs to request a minimum of an associate degree.

Accountants traditionally have been detail-oriented and that is still important, but modern accountants require a much broader set of abilities. The modern accountant needs highly developed analytical skills to deal with the ever-changing business environment. Good oral and written communication skills are a necessity. Interpersonal skills are highly desirable. The ability to effectively work with computers is a necessity. Computerization lessened the focus on repetitive, detail-oriented work in accounting in favor of analysis and communication.

Based on recommendations made by the American Institute of Certified Public Accountants, most states currently require CPA candidates to complete 150 semester hours of college coursework. Students already holding a bachelor s degree in another field who earn an associate degree in accounting may meet the educational qualifications for the CPA examination and entry into professional levels of accounting. In Michigan, the 150-hour law can be met with LCC classes if the student has a 4-year degree already.

Real Estate Taxes- Delinquent Taxes – Office of the Tax Collector –

    #

    Delinquent Taxes

    Real Estate Taxes

Real estate taxes become delinquent April 1st of each year. Delinquent taxes must be paid by cash, cashier’s check or money order. The amount due is determined by the the date the payment is received.

Florida Statutes require the Tax Collector to advertise the delinquent parcels in a local newspaper once a week for three consecutive weeks. The advertised list of unpaid taxes is published in a local newspaper at the beginning of May, and can also be found online at bidlaketax.com. Advertising and collection fees are added to the delinquent taxpayer’s bill.

Beginning on or before June 1st, the Tax Collector is required by law to hold a Tax Certificate Sale. The certificates represent liens on all unpaid real estate properties. The sale allows citizens to buy certificates by paying off the tax debt that is owed. The sale is conducted in reverse auction style with participants bidding downward in ¼% increments starting at 18%. The certificate is awarded to the lowest bidder.

A tax certificate, when purchased, becomes an enforceable first lien against the real estate. The certificate holder is actually paying the taxes for a property owner in exchange for a competitive bid rate of return on his/her investment. In order to remove the lien, the property owner must pay the Tax Collector all delinquent taxes plus accrued interest, penalties and advertising fees. The Tax Collector then notifies the certificate holder of any certificates redeemed, and a refund check is issued to the certificate holder.

A tax certificate is valid for seven years from the date of issuance. The holder may apply for a tax deed at any time after two years have elapsed since April 1st of the year of issuance of the tax certificate and before the cancellation of the certificate. If the property owner fails to pay the tax debt, the property tax deed is sold at public auction.

    Tangible Personal Property Tax

Tangible Personal Property Taxes become delinquent April 1st of each year at which time a 1.5% fee per month is added to the bill. Within 45 days after the tangible personal property taxes become delinquent, the Tax Collector is required by law to advertise a list of delinquent taxpayers one time in a local newspaper. Advertising costs are added to the delinquent bill.

Pursuant to Florida Statutes. Tax Warrants are issued prior to April 30th of the next year on all unpaid tangible personal property taxes. Within 30 days after the warrants are prepared, the Tax Collector applies to the Circuit Court for an order directing levy and seizure of the property for the amount of unpaid taxes and costs.

Any changes to the tax roll (name, address, location, assessed value) must be processed through the Property Appraiser s Office. (352) 253-2150.

    Registering your Company

In terms of the Companies Act, 2008, a company may be registered with or without a company name. When a company is registered without a reserved name, its registration number automatically becomes the company name. This is the quickest way to register a company.

Such a company may transact with a trading (business) name, or may apply to add a reserved name at a later stage. In this case, the company will need to first reserve a name and then apply for a name change, which constitutes a change to its Memorandum of Incorporation (MOI) (refer to Maintain a Business).

If your initial name reservation application is not approved, you will need to apply for new names. You may apply for between 1 and 4 names during each application process. Each name reservation application costs R50. A company registration may vary between R125 and R475 (R125 for a private company, R475 for a non-profit company registered without members).

There are five types of companies that you can register. If you wish to run a franchise business, you would register a private company. If you wish to register a church, you would register a non-profit company. A private school could be registered as a private company or non-profit company, depending on its objectives. An association of professionals such as lawyers, doctors, civil engineers etc, may be registered as a personal liability company.
